Overview

AspenTech is seeking an attorney to join its Legal Department to manage a variety of complex legal matters with significant financial and business impact, including technology licensing and M&A transactions. This position also provides legal support on intellectual property, litigation, general corporate, data privacy/security, and employment law matters. The position will report to the Associate General Counsel.

Responsibilities

  • Provide support for M&A activities and other strategic transactions.
  • Implement and manage best practices to enhance and protect AspenTech’s global intellectual property portfolio, and educate and advise the Company’s employees on the same.
  • Draft, review and negotiate a wide range of commercial contracts, quickly identifying and prioritizing high-risk and mission-critical transactions.
  • Manage litigation, including with respect to intellectual property enforcement.
  • Provide day-to-day support to G&A and Operations business units including IS, Facilities, Finance, HR, Marketing, and Compliance.
  • Assist with the interpretation and implementation of company-wide policies.
  • Manage outside counsel effectively, ensuring high-quality work at a reasonable price. 
  • Provide support for other matters as determined from time to time.

Qualifications

  • 7+ years’ experience as a lawyer in both a diversified US law firm and the legal department of a software technology company.
  • J.D. with superior academic credentials from a nationally-recognized law school
  • Significant subject matter expertise and experience in technology transactions and intellectual property matters.
  • Proven communication excellence with ability to provide clear, correct and concise written and oral advice in a business context.
  • Demonstrated negotiation and conflict resolution skills.
  • Substantial experience and responsibility in contractual negotiations.
  • Flexibility and willingness to work on a broad variety of legal matters and a positive attitude.
  • Ability to form strong working relationships with internal clients while maintaining firm adherence to proper legal standards.
  • Ability to travel internationally and to function in a global time-zone environment.
  • Strong sense of integrity and appreciation for confidentiality issues.
  • Excellent business acumen.
  • Ability to speak, read and write in foreign languages in addition to English is preferred
  • Admission to state bar.
