Overview

AspenTech is seeking an attorney to join its legal department to advise on a wide variety of matters with a focus on the management, enhancement and protection of AspenTech’s global intellectual property portfolio. The Senior Counsel will handle complex legal projects with significant financial and business impact, including M&A transactions. The position will report to the Associate General Counsel.

Responsibilities

  • Implement and manage best practices to enhance and protect AspenTech’ s global intellectual property portfolio, and educate and advise the Company’s employees on the same.
  • Manage intellectual property disputes, litigation and the enforcement of AspenTech’s intellectual property rights.
  • Serve as the point person for the review and negotiate a wide variety of non-revenue contracts including for inbound third-party technology and various vendor arrangements.
  • Provide day-to-day support to G&A and Operations business units including IS, Facilities, Finance, Marketing, and Sales Operations.
  • Assist with the interpretation and implementation of company-wide policies, such as the Code of Business Conduct and Ethics, Information Security Policy and Insider Trading Policy.
  • Counsel on corporate development opportunities, including with respect to M&A.
  • Serve as an additional resource for the review and negotiation of software license and services agreements with customers.
  • Manage outside legal service providers and associated budgets.

Qualifications

  • 7+ years’ experience in sophisticated legal environment(s), including experience in both a large diversified US law firm and a software technology company.
  • J.D. from an accredited law school.
  • Significant subject matter expertise and experience in technology and intellectual property matters, including with respect to litigation.
  • Demonstrated negotiation and conflict resolution skills.
  • Excellent business acumen.
  • Substantial experience and responsibility in contractual negotiations over a wide variety of technology, IP, licensing, service provider and other matters.
  • Excellent interpersonal, flexibility, organizational, time management, critical thinking and communications skills and positive attitude.
  • Flexibility and willingness to work on a broad variety of legal matters.
  • Ability to form strong working relationships with internal clients while maintaining firm adherence to proper legal standards.
  • Ability to travel internationally and to function in a global time-zone environment.
  • Ability to speak, read and write in foreign languages in addition to English is preferred
  • Admission to state bar.
