  • Overview

    Key member of the in-house legal group and China management team of a fast-paced, publicly-traded US-based global software company. 

    Responsibilities

    • Negotiate, review and draft complex software license, implementation services, system integrator and channel sales agreements.
    • Advise sales and other internal groups on business and legal issues relating to proposed transactions with customers and third parties.  
    • Provide strategic business and legal advice to sales and other internal groups with a comprehensive and long-term approach to business growth and success. 
    • Assume primary responsibility for legal issues in China, including risk management
    • Advise management on human resources/employment issues
    • Drive efforts to stop software piracy and ensure license and IP compliance
    • Manage dispute resolution (including litigation and arbitration)
    • Implement corporate programs & policies throughout the region
    • Manage relationships with outside law firms in the region
    • File statutory documentation for corporate governance and record-keeping, and other company secretary duties.
    • Advise regarding real estate property leases.
    • Manage projects in other areas as needed.

    Qualifications

    • Law degree from an accredited law school.
    • At least eight years’ experience in sophisticated legal environment(s); large law firm and US-based public software technology company experience preferred
    • Current registration in good standing with the appropriate authorities or organization such as bar association
    • Experienced in negotiating complex software licenses and consulting service agreements for US-based public software companies.
    • Experienced in structuring, negotiating, and closing other business transactions.
    • Experienced with employee relations / labor law in China
    • Experienced with China business and legal and judicial environments
    • Fluent in written and spoken Mandarin and English

    • Be able to provide counsel and transaction assistance on a flexible daily work schedule. Extended work hours will be required during the last month of each fiscal quarter.
    • Possess collaborative spirit and steady demeanor in challenging situations.

     

    LOCATION

     

    The position will be based in our Beijing office. Travel will be required.
